1. Acceptance & Binding Agreement

By creating an account or using the Arkade AI platform, you accept these Terms of Service. This agreement incorporates our Privacy Policy and Acceptable Use Policy by reference.

2. Service Description

Arkade AI provides a hosted platform enabling creation of voice agents through orchestration of three modules: transcription, large language model processing, and text-to-speech conversion. The service includes a web dashboard and API access.

3. Usage Rights

We grant you a non-exclusive, non-transferable, non-assignable, non-sublicensable, and revocable license to use our services. This license is for service use only, with no ownership transfer to users.

4. Prohibited Uses

You may not:

• Reverse engineer the software
• Scrape data from our platform
• Use automated access tools without authorization
• Transmit malicious code
• Use the service to produce datasets for neural network training

5. Content Ownership

You retain ownership of content you upload. Arkade AI receives a license to handle your content for service delivery. A "hipaaEnabled" option allows you to restrict data persistence and prevent model training use.

6. Third-Party Providers

Our platform integrates transcription services, LLM providers (OpenAI-compatible endpoints), and voice generation services. Your content may be shared with these providers as necessary for service delivery.

7. Fees

Pricing correlates with voice minutes processed. Fee changes apply only after current subscription terms end. Current pricing is available on our website or upon request.

8. Account Management

You must be 18 years or older to use our services. You are responsible for maintaining secure login credentials. Account deletion is permitted at any time.

9. Intellectual Property

Arkade AI retains all intellectual property rights to its platform technology and proprietary models. You grant us rights to handle your content during service provision.

10. Indemnification

You agree to indemnify Arkade AI against claims arising from your use of the service or breaches of these terms. Arkade AI indemnifies you against IP infringement claims related to the unmodified service.

11. Disclaimers

Services are provided "as is" and "as available." Arkade AI disclaims warranties regarding uninterrupted, error-free, or timely service delivery.

12. Liability Limitations

Arkade AI limits liability to the greater of $100 USD or amounts paid in the preceding 12 months. Consequential damages are excluded to the maximum extent permitted by law.

13. Dispute Resolution

Disputes proceed through mandatory informal resolution, then binding arbitration administered by the American Arbitration Association in San Francisco, California. Class action rights are waived.

14. Governing Law

Delaware law governs this agreement without regard to conflict of law provisions.

15. Termination

Arkade AI may suspend or terminate services for breaches or legal requirements. You may terminate at any time. Upon termination, account access ceases and data may be deleted.

16. Acceptable Use Policy

You agree not to use our services for:

• Any activity that violates applicable laws
• Harassment, fraud, or deceptive practices
• Transmitting malware or malicious code
• Collecting unauthorized data
• Emergency services or life-critical applications without proper safeguards
